Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Everest IntelligenX platform, including all AI automation capabilities, enterprise workflows, analytics, geospatial intelligence, call center intelligence, and any related software, APIs, documentation, and services (collectively, the “Platform”). By using our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree, you may not access or use the Platform.

2. Eligibility

You may use the Platform only if:

  • You are at least 18 years old (or the legal age in your jurisdiction).
  • You have the legal authority to enter into a binding agreement.
  • You are not prohibited from using the Platform under applicable law.

3. Account Registration & Security

3.1 Account Information

  • You must provide accurate and complete information.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must immediately notify us of any unauthorized access.

3.2 Account Restrictions

  • You may not share or resell account access.
  • You may not impersonate others or misrepresent your identity.
  • We reserve the right to suspend or terminate accounts violating these Terms.

4. Acceptable Use of the Platform

You agree not to misuse the Platform. Prohibited activities include:

4.1 Misuse, Interference, or Abuse

  • Reverse engineering, decompiling, or modifying the Platform.
  • Attempting to bypass security, authentication, or usage limits.
  • Uploading malicious code, spyware, ransomware, or harmful content.

4.2 Abuse of AI Agents or Automation

  • Automating unlawful, deceptive, or fraudulent activity.
  • Using agents to manipulate pricing, communications, or personal data improperly.
  • Generating disallowed content, misinformation, or harmful actions.

4.3 Call Center & Communications Abuse

  • Violating call compliance laws, including TCPA, FCC, TSR, or local equivalents.
  • Using automated systems for harassment or unauthorized outreach.
  • Bypassing identity verification or TPV requirements.

5. Data, Privacy & Security

Your data is handled in accordance with our Privacy Policy. By using the Platform, you consent to our data practices.

5.1 Customer Data

  • You retain ownership of your uploaded or processed data.
  • We may process your data solely to deliver platform functionality.
  • We do not sell your personal information.

5.2 System & Usage Data

We may collect operational metrics, analytics, logs, and geospatial telemetry for:

  • Security and fraud detection
  • Platform performance improvements
  • AI accuracy and optimization

5.3 Security Commitments

  • Industry-standard encryption (in transit & at rest).
  • Access control policies and authentication safeguards.
  • Continuous monitoring, auditing, and anomaly detection.

6. Intellectual Property

All software, algorithms, AI models, workflow logic, design assets, documentation, and technologies within the Platform are the exclusive property of Everest IntelligenX or its licensors.

6.1 License to Use the Platform

We grant you a limited, revocable, non-transferable license to use the Platform.

6.2 Restrictions

  • You may not copy, distribute, or derive competing products.
  • You may not bypass usage limits or system controls.
  • You may not claim ownership over AI-generated results.

7. Service Availability & Updates

We strive to maintain continuous availability, but we do not guarantee uninterrupted uptime.

  • Services may be affected by maintenance, updates, or incidents.
  • We may introduce new features or discontinue existing ones.
  • We are not liable for losses due to downtime or service interruptions.

8. Fees, Billing & Payments

8.1 Pricing & Subscription Terms

  • Fees are billed according to your subscription or contract.
  • Usage-based pricing applies to automation, API calls, and AI agent activity.

8.2 Failure to Pay

  • Non-payment may result in account suspension.
  • Outstanding balances may incur interest or penalties.

9. Suspension & Termination

We may suspend or terminate your access if:

  • You violate these Terms.
  • You engage in fraudulent or harmful activity.
  • Your payment obligations remain unpaid.
  • We are required to do so by law or regulation.

10. Warranties & Disclaimers

The Platform is provided “as is” without warranties of any kind. We disclaim all implied warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability, accuracy, or reliability of results

11. Limitation of Liability

To the fullest extent permitted by law, Everest IntelligenX shall not be liable for:

  • Loss of data, revenue, profits, or business opportunities.
  • Service interruptions, technical errors, or system failures.
  • Actions performed by automated agents, scripts, or workflows.
  • Third-party services, integrations, or content.

12. Governing Law

These Terms are governed by the laws of your applicable jurisdiction without regard to conflict-of-laws principles.

13. Changes to These Terms

We may update these Terms periodically. Changes will be effective upon posting. Continued use of the Platform constitutes acceptance of modified Terms.
